Terms of service

1.The agreement

By creating an account or using Ledgeriano (the "service"), you agree to these terms and to our privacy policy. If you use the service on behalf of a company or another organization, you confirm that you are authorized to accept these terms for it, and "you" includes that organization.

You must be old enough to enter into a binding contract where you live. If you do not agree with these terms, do not use the service.

2.The service

Ledgeriano is cloud accounting software. It lets one account keep the books of several businesses, with double-entry journal entries, reports, fiscal year closing, multi-currency support, intercompany workflows, a REST API and webhooks. The features available at any time are those described in the app and on our features page.

Ledgeriano is a software tool. We are not an accounting, audit, tax or legal firm, and nothing in the service, its reports or our guides is professional advice for your situation. You remain responsible for your books, your filings and your decisions.

3.Your account

• Give accurate information when you register and keep your email address current, because we use it for sign-in, security notices and billing messages.
• Keep your password, two-factor codes and API keys confidential. We strongly recommend turning on two-factor authentication.
• Each login is for one person. Invite team members with their own accounts instead of sharing a password.
• You are responsible for activity under your account and under API keys created for your businesses, unless it results from our own failure to protect the service.
• Tell us promptly at security@ledgeriano.com if you suspect unauthorized use.

4.Businesses, members and roles

The user who creates a business is its owner. The owner decides who is invited, which roles and permissions members have, and who may use API keys. Some actions, such as managing API keys and deleting the business, are reserved for the owner.

Actions performed in a business, whether by the owner, a member, a workflow or an API key, are charged to the owner's credit balance. Owners should give members only the access they need.

5.Credits and payments

The service is paid for with prepaid credits. There is no subscription.

• Consumption. Credits are consumed per action (for example creating a business, recording an entry or making an API call) at the prices shown in the app and on the pricing page at the time of the action. Price changes apply only to actions taken after the change.
• Insufficient balance. If your balance is too low, actions that cost credits are declined until you top up. Your existing data stays in your account.
• Free credits. New accounts may receive free credits. Free or promotional credits have no cash value and cannot be transferred or exchanged.
• Crypto payments are processed by NowPayments under its own terms. An unpaid invoice expires after a short period, and credits are added once the payment is confirmed.
• Bank transfers are credited after an administrator has reviewed and approved your proof of transfer. We may reject a transfer we cannot match or verify.
• Refunds. Credits are not refundable, except where the law requires a refund or where we decide, at our discretion, to grant one.
• Fees and taxes. You are responsible for bank charges, network fees and any taxes that apply to your purchase, unless the price states otherwise.

Your billing history in the app shows every purchase and every consumption of credits.

6.Your data

You own your accounting data. Everything you and your team enter into the service, including entries, accounts, parties and attachments, remains yours. We claim no ownership of it.

You give us permission to host, copy, process and display that data only as needed to provide, secure and support the service for you. We handle personal data as described in the privacy policy.

You are responsible for the accuracy and lawfulness of the data you enter, for having the right to process any personal data about other people that you record, and for keeping the records that accounting and tax law require of you. You can export reports to CSV and read your data through the API at any time while your account is active.

7.Acceptable use

You agree not to:

• use the service for anything illegal, including recording transactions meant to hide fraud, money laundering or tax evasion;
• access, or try to access, businesses or accounts you have not been given access to;
• probe, scan or test the security of the service, except as allowed by our responsible disclosure guidelines;
• bypass rate limits, credit charges, permissions or other technical limits;
• upload malware or content that infringes someone else's rights;
• overload the service or disrupt other customers' use of it;
• resell or provide the service to third parties as your own product without our written agreement. Accounting firms may, of course, keep their clients' books in Ledgeriano.

8.API use and limits

The REST API is part of the service and is covered by these terms. When you use it:

• Keep API keys secret, store them on servers only, and rotate or revoke a key that may have been exposed.
• Respect the rate limits reported in the response headers. Requests above the limit are rejected until the limit resets.
• API calls and webhook deliveries consume credits like other actions, at the prices shown in the app.
• Workflows, URL calls and webhooks send data to destinations you configure. You are responsible for those destinations and for verifying webhook signatures.
• We aim to keep version 1 of the API backward compatible and to announce breaking changes in advance. The API reference describes current behavior.

9.Third-party services

Some parts of the service rely on third parties, such as payment processors and email providers, and your use of those parts may also be governed by their terms. We are not responsible for services we do not control, including systems you connect through the API, workflows or webhooks.

10.Availability and changes to the service

We work to keep the service available and your data safe, but we do not guarantee that it will be uninterrupted, error-free or available at any particular time. Maintenance, updates and events outside our control can cause interruptions.

We improve the service continuously and may add, change or remove features. If we remove a feature you depend on in a significant way, we will try to give reasonable notice. The service is provided "as is" and "as available", to the extent the law allows.

11.Limitation of liability

To the maximum extent permitted by law, Ledgeriano is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or business opportunities, arising from your use of the service.

To the same extent, our total liability for any claim relating to the service is limited to the amount you paid us for credits in the 12 months before the event giving rise to the claim.

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud or gross negligence, or rights you have as a consumer under mandatory law.

12.Your responsibility to us

If a third party brings a claim against us because of data you entered, or because you used the service in breach of these terms or the law, you agree to cover the reasonable costs and losses that result, to the extent the law allows.

13.Suspension and termination

You can stop using the service at any time. Owners can delete a business in the app, and you can ask us to close your account by email.

We may suspend or close an account or a business if you seriously or repeatedly breach these terms, if required by law, or if needed to protect the service or other customers. Where appropriate, we will tell you why and give you a chance to fix the problem first. A suspended account cannot sign in, and its API keys stop working.

After closure, we keep or delete data as described in the privacy policy. Export anything you need before you close your account. Sections that by their nature should survive, such as data ownership, limitation of liability and governing law, continue to apply.

14.Governing law and disputes

These terms are governed by the laws applicable at the operator's place of establishment, and disputes will be handled by the competent courts there, unless mandatory law where you live gives you the right to bring a claim elsewhere. Before starting formal proceedings, please contact us so we can try to resolve the issue directly.

15.Changes to these terms

We may update these terms from time to time. The date at the top shows the current version. For material changes, we will notify you by email or in the app before they take effect. If you keep using the service after that, the updated terms apply. If you do not agree, you can stop using the service.
